Who we are?
Transaction Services (TS) are looking for Managers or Senior Managers to join the Sale and Purchase Agreement (SPA) team in Auckland.
PwC globally is one of the leading providers of transaction services and SPA Advisory services. We have dedicated specialists throughout our global TS business, and our clients include the world's leading companies and private equity institutions. We advise on deals with values ranging from $1 million to over $1 billion. Our specialist teams are uniquely placed to advise at all stages of a deal from strategic inception through to due diligence to post deal support.
Our SPA team provides expert support to clients, partners and deal teams in all aspects of SPA work. The role involves the identification and articulation of value issues related to deal completion mechanics to assist clients in their SPA negotiations. It is a highly rewarding role as the benefits and value created for clients are clearly visible. The successful candidate will be part of a highly-regarded, rapidly growing team and will receive one-to-one coaching and support from experienced deal practitioners, enabling them to develop into a trusted advisor at all stages of a transaction.
The PwC Sale and Purchase Agreement (SPA) Advisory team is New Zealand’s leading provider of financial SPA advice, with the only dedicated team in New Zealand.
This is an exciting opportunity to join a growing team in the PwC Deals practice and be involved in all aspects of its growth and development.
What will you be doing?
As a Manager or Associate Director in the SPA team you will work alongside PwC’s Transaction Services and Corporate Finance teams, assisting our clients to maximise deal value and manage risk in SPA negotiations. This role builds on traditional financial due diligence experience, as in addition to financial due diligence, you will support clients in the identification and articulation of value issues related to deal completion mechanics in their SPA negotiations. This role will have you work across a wide variety of industries for both private equity and corporate clients.
This role will enable the individual to:
Develop a specialist skill-set in a high value-add area for corporate and private equity clients

Build up investigation and SPA experience

Improve analytical and negotiation techniques

Gain insight into key value levers for clients in negotiating SPAs

Work closely with due diligence teams to identify and mitigate risk for clients

Participate in the development and success of a highly profitable business viewed as a key differentiator to competitors

Develop a strong internal and external network

What you will need to bring to the role?
We are looking for an individual who is hands-on and rigorous in their working style and a highly motivated team player, capable of working in a fast paced environment. Candidates must demonstrate an ability to communicate clearly with both clients and other advisors. For the right candidate, this opportunity will provide stimulation and challenge and the prospect of career development in a key specialism with TS. The chosen candidate should possess:
Experience in transaction services or corporate finance, or a strong accounting knowledge from an audit background.

You’ll bring an analytical and intuitive mind-set to any task put in front of you.

You will possess strong written and numerical ability and will be proficient in excel.

The ideal candidate will have exceptional interpersonal skills, an eye for detail and will thrive in a team environment

Strong communication skills

Desire to develop strong internal and external networks

A flexible working style

Ability to deliver under pressure

You will have completed a relevant tertiary qualification in Accounting/Commerce/Business/Finance
